Terms of Service

1. Our Services

We provide AI consulting, workflow automation, and custom AI solutions. The scope, price, timeline, deliverables, and exclusions for each project are set out in a signed proposal. If the proposal and these terms or our website disagree, the signed proposal controls.

2. Process Reviews

The process review is a fixed-fee project of about 5 hours, and it costs $750. Payment is due before it starts. The full $750 is credited toward any build of $2,500 or more. For a build under $2,500, the review fee stays separate.

3. Build Payments

Each build has one fixed project price, and that price sets which schedule applies, before any process review credit comes off.

Late payments may pause active work until the account is current.

4. Support and Changes After Handoff

Support and changes after handoff are $150 an hour, billed monthly in 15-minute increments. There's nothing to prepay and no ongoing commitment, and invoices are due within 15 days.

5. Running Costs

Tools run on your own accounts wherever possible, so you pay hosting, software, and API usage directly. Anything we pay for you is billed at cost. Your proposal lists the estimated monthly amount.

6. What We Need From You

We need the access each project requires, a contact who can answer process questions, time from the people who do the work, and feedback by the dates in your proposal. Timelines depend on getting that access and feedback on time.

7. Changes to a Project

Any change to the scope, price, or timeline must be approved in writing before that work begins.

8. Data and Access

We access your systems and data only to do the work in your signed proposal. We use individual logins or limited access instead of shared passwords. You're responsible for granting only the access the project needs and for removing it when the work ends.

We aren't taking on builds that handle patient health information. Please don't give us access to it.

9. Confidentiality

Each side keeps the other's private business information confidential and uses it only to provide or receive the services. This doesn't apply to information that's public, already known to the receiving side, or required to be disclosed by law. We'll use your name or results publicly only with your written approval.

10. Ownership

You own the finished build once the final payment is made. We keep ownership of our existing methods, templates, and general know-how, and we may reuse parts of our work that aren't specific to you. Third-party software stays under its own terms.

11. AI Tools and Estimates

AI can make mistakes, so tools should be checked by the people using them, and anything unclear should go to a person for review. Estimates of time or money saved are estimates only, and we can't promise a specific result.

12. Limitation of Liability

Our total liability for any claim arising from a project is limited to the fees you paid for that project. We aren't liable for indirect, incidental, or consequential damages, including lost profits or lost data, to the extent the law allows.

13. Ending a Project

Either side may end a project for a material breach that isn't fixed within 15 days of written notice. Fees for work completed before the project ends remain due.

14. Governing Law

These terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Mahoning County, Ohio.

15. Changes to These Terms

We may update these terms from time to time. The effective date at the top of this page shows the most recent update, and the terms in place when you sign apply to that proposal.
